Who can start a business in Spain?
Spain is open to entrepreneurs from all over the world. Whether you are a Spanish citizen, an EU national or a non-EU resident, you can start your own company here. The steps to constitute a company are the same for everyone, but your residence status affects the preliminary requirements:
- EU citizens: the procedure is straightforward. You need your NIE (foreigner identity number) and, if you are going to live in Spain, your EU registration certificate before forming the company. EU citizens who stay longer than three months must register in the Central Register of Foreigners within three months of arrival, and the certificate they receive shows their NIE (Royal Decree 240/2007, article 7).
- Non-EU citizens: you need a visa and permit to live and work in Spain. You can still create a company, and act as a director, without a Spanish work permit.
The NIE is the personal identification number given to foreigners whose economic, professional or social interests relate to Spain (Royal Decree 557/2011, article 206).

A limited company (sociedad limitada) can now be formed with share capital from one euro, under the reform introduced by Law 18/2022. Until its capital reaches 3,000 euros, it must allocate at least 20 per cent of its profit to the legal reserve (Companies Act, article 4). Company liquidation
We also guide owners through closing a company, whether voluntarily, as part of a restructuring or in an insolvency situation. Under the Companies Act, dissolution opens the liquidation period, during which the company keeps its legal personality and adds “en liquidación” to its name (article 371). At the end, the liquidators sign a public deed of extinction, which is registered with the Commercial Registry, and the company’s registry entries are cancelled (articles 395 and 396). We make sure the process complies with Spanish law, prepare the financial statements required and deal with the tax and commercial authorities, so that liquidation is as smooth as possible, including for international investors.

Can a British citizen start a business in Spain?
Yes. Nationality does not stop anyone from forming or owning a Spanish company, and the steps are the same for everyone. Since Brexit, British citizens are third-country nationals, so living or working in Spain needs the right authorisation under immigration law, which is a separate procedure from forming the company. A Spanish limited company can be formed with share capital from one euro (Companies Act, article 4).
